Long Health Platform Terms of Use

PLEASE READ THESE TERMS CAREFULLY.

These Platform Terms of Use (“Terms”) are a legally binding agreement governing access to and use of software, applications, websites, platforms, features, and related services provided by Long Health, Inc. (“Long Health,” “we,” “us,” or “our”), including EvalPath and other Long Health healthcare technology, workflow, artificial-intelligence, documentation, and interoperability services (collectively, the “Services”).

By clicking “I Agree,” “Accept,” “Create Account,” or a similar acceptance mechanism, or by accessing or using the Services, you acknowledge that you have read, understand, and agree to these Terms.

If you do not agree to these Terms, do not create an account or use the Services.

1. Who These Terms Apply To

These Terms apply to individuals who access or use the Services, including:

  • physicians and other healthcare professionals;
  • Qualified Medical Evaluators (“QMEs”);
  • Independent Medical Examiners (“IMEs”);
  • Agreed Medical Evaluators (“AMEs”);
  • clinic and medical-practice personnel;
  • medical-legal evaluation organizations;
  • evaluation management companies;
  • administrative and support personnel;
  • healthcare organization personnel;
  • authorized contractors; and
  • other professional users authorized to access Long Health Services.

For purposes of these Terms:

“Customer” means the individual or organization that purchases, subscribes to, or otherwise contracts for the Services.

“Authorized User” means an individual permitted by a Customer to access the Services.

“User,” “you,” or “your” means the individual accepting these Terms and using the Services.

If you purchase the Services for yourself or your professional practice, you may be both the Customer and an Authorized User.

If you access the Services through an employer, medical practice, evaluation company, healthcare organization, or other Customer, you are an Authorized User of that Customer.

If you accept these Terms on behalf of an organization and purport to bind that organization, you represent that you have authority to do so.

2. Relationship to Other Agreements

A Customer's use of the Services may also be governed by one or more:

  • Order Forms;
  • subscription agreements;
  • Master Services Agreements;
  • Business Associate Agreements (“BAAs”);
  • implementation agreements;
  • statements of work;
  • interoperability agreements;
  • QHIO participation agreements;
  • Carequality or other network participation agreements; or
  • other written agreements with Long Health.

If these Terms conflict with a separately executed written agreement governing the applicable Services, the separately executed agreement controls with respect to that conflict.

For matters involving Protected Health Information (“PHI”), an applicable BAA controls to the extent of any conflict concerning the handling of PHI.

For access through a health information exchange, QHIO, Carequality, or other interoperability network, applicable participation agreements, network rules, permitted-purpose requirements, and data-sharing agreements also apply.

3. Eligibility and Professional Use

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

The Services are intended primarily for professional and organizational use and are not intended as a general consumer medical-record service.

You may use the Services only:

  • for lawful purposes;
  • within the scope of your professional role;
  • for activities authorized by your Customer;
  • for cases, patients, examinees, or records you are authorized to access; and
  • in accordance with applicable federal and state laws, professional obligations, contractual requirements, and these Terms.

4. User Accounts

Certain Services require a registered user account.

You agree to:

  • provide accurate and current registration information;
  • maintain accurate account information;
  • maintain the confidentiality of your credentials;
  • use reasonable security measures to protect your account;
  • not share your password or authentication credentials;
  • promptly notify Long Health of suspected unauthorized access; and
  • use only the account assigned to you.

You are responsible for activity performed through your account to the extent resulting from your actions or failure to reasonably protect your credentials.

Long Health may require multifactor authentication or other security controls.

Accounts are individual unless Long Health expressly provides otherwise.

5. Description of Services

Long Health provides healthcare technology and workflow services.

Depending on the Customer's subscription and configuration, Services may include:

  • medical-legal case creation and management;
  • medical-record ingestion and organization;
  • review-of-record workflows;
  • document indexing;
  • record summarization;
  • medical chronologies;
  • issue identification and organization;
  • questionnaires and forms;
  • appointment and workflow management;
  • dictation;
  • speech-to-text transcription;
  • ambient or AI-assisted documentation;
  • physical-examination documentation;
  • medical-history documentation;
  • report templates;
  • draft report generation;
  • medical-legal report workflows;
  • impairment-analysis tools;
  • disability-rating assistance;
  • apportionment-related workflow support;
  • document generation;
  • integrations with third-party systems;
  • healthcare interoperability;
  • health information exchange;
  • notifications;
  • data normalization;
  • clinical workflow automation; and
  • other features made available by Long Health.

Features may vary by Customer, subscription, jurisdiction, configuration, or applicable agreement.

Long Health may add, modify, replace, or discontinue particular features from time to time, subject to any applicable customer agreement.

6. EvalPath and Medical-Legal Services

EvalPath is a technology platform intended to assist authorized professionals with medical-legal evaluation workflows.

EvalPath may assist with activities including:

  • organizing medical records;
  • preparing medical-record summaries and chronologies;
  • documenting histories and examinations;
  • transcription;
  • identifying potentially relevant information;
  • generating draft medical-legal report sections;
  • assisting with impairment-related calculations or analysis;
  • organizing apportionment-related information;
  • populating templates; and
  • preparing draft professional work product.

Long Health is not the examining physician, QME, AME, IME, attorney, claims administrator, employer, insurer, or other professional responsible for a medical-legal evaluation.

The responsible professional remains solely responsible for the substance and final disposition of the evaluation.

7. Professional Judgment and Review

The Services are designed to assist qualified professionals, not replace them.

You are responsible for reviewing and validating information generated or organized through the Services before relying upon it.

You remain responsible for determining, as applicable:

  • whether source records are complete;
  • whether factual statements are accurate;
  • whether relevant records have been considered;
  • diagnoses;
  • medical causation;
  • work restrictions;
  • treatment recommendations;
  • maximum medical improvement or permanent and stationary status;
  • impairment determinations;
  • selection and application of applicable impairment criteria;
  • apportionment;
  • disability conclusions;
  • medical opinions;
  • legal or regulatory requirements applicable to your report; and
  • the final contents of any report you sign or issue.

You must independently review a report before signing, certifying, submitting, transmitting, or relying upon it.

Use of the Services does not transfer the professional responsibility of the physician, evaluator, or other professional to Long Health.

8. Artificial Intelligence and Automated Features

Certain Services use artificial intelligence, machine learning, natural-language processing, speech recognition, optical character recognition, or other automated technologies (“AI Features”).

AI Features may generate:

  • summaries;
  • chronologies;
  • transcriptions;
  • draft narrative;
  • classifications;
  • suggested findings;
  • calculations;
  • extracted information;
  • medical-legal report sections; or
  • other content (“Output”).

AI-generated Output may be incomplete, inaccurate, inconsistent, or inappropriate for a particular purpose.

Long Health does not guarantee that AI-generated Output will identify every relevant fact, accurately interpret every record, or produce a complete or error-free professional report.

You must review Output against appropriate source information before relying upon it.

You may not represent that Long Health independently verified or endorsed an opinion merely because an AI Feature generated or assisted with the content.

9. Impairment and Rating Tools

Where the Services provide impairment-analysis, rating, guideline, calculation, or similar decision-support functionality, such functionality is intended to assist the professional evaluator.

The responsible physician or professional remains responsible for:

  • the examination;
  • clinical measurements;
  • diagnosis;
  • selection of the appropriate methodology;
  • application of applicable guides, statutes, regulations, and case-specific requirements;
  • interpretation of results; and
  • the final impairment or disability opinion.

Long Health does not independently issue impairment ratings or medical-legal opinions.

10. No Medical or Legal Advice

Long Health is a technology provider.

Long Health does not provide medical diagnosis, treatment, medical advice, legal advice, or legal representation through the Services.

Information, suggestions, calculations, summaries, templates, and Output provided by the Services are technology-assisted information and workflow tools.

They are not a substitute for the judgment of a qualified physician, attorney, or other licensed professional where such judgment is required.

The Services are not intended for medical emergencies.

11. Recordings, Dictation, and AI Scribe

Certain Services may allow a User to record, upload, transcribe, or process conversations, examinations, dictation, or audio.

Before recording another person, you are responsible for determining whether recording is permitted and for obtaining all notices, permissions, consents, or authorizations required by:

  • applicable federal law;
  • applicable state law;
  • professional rules;
  • facility policies;
  • contractual obligations; and
  • other applicable requirements.

This responsibility includes obtaining any consent required from patients, examinees, interpreters, family members, healthcare professionals, or other persons whose communications may be recorded.

You may not use Long Health recording functionality to secretly or unlawfully record a communication.

Long Health does not determine whether recording is legally permitted in a particular encounter.

12. Customer Data

“Customer Data” means information, documents, recordings, templates, instructions, files, medical records, case materials, images, correspondence, and other content submitted to or processed through the Services by or on behalf of a Customer.

As between Long Health and the Customer, the Customer retains its rights in Customer Data.

You represent and warrant that you have lawful authority to submit Customer Data to Long Health and to instruct Long Health to process it for the applicable Services.

Long Health may process Customer Data as reasonably necessary to:

  • provide the Services;
  • perform Customer instructions;
  • maintain and secure the Services;
  • troubleshoot and support the Services;
  • comply with applicable law;
  • satisfy contractual obligations; and
  • otherwise act as permitted by applicable agreements and privacy requirements.

Nothing in these Terms grants Long Health ownership of a healthcare provider's medical record or Customer's underlying case information.

13. Protected Health Information and Business Associate Agreements

The Services may involve PHI regulated by HIPAA and other health-information privacy laws.

Where Long Health acts as a Business Associate or subcontractor Business Associate, PHI will be handled in accordance with the applicable BAA, HIPAA, and other applicable requirements.

If you or your organization is a HIPAA Covered Entity or Business Associate and your use of the Services will involve PHI, an applicable BAA with Long Health must be in effect before PHI is submitted to the Services.

Acceptance of these Terms alone does not replace a required BAA.

You may not upload or disclose PHI to Long Health unless you or the applicable Customer has appropriate authority to do so.

14. Patient, Claimant, and Examinee Information

A patient, claimant, injured worker, examinee, or other individual whose information appears within the Services does not become a Long Health customer or platform user merely because Long Health processes information concerning that person.

Long Health does not currently operate a general direct-to-consumer patient portal through which individuals independently access or manage source medical records submitted by Customers.

Requests concerning an underlying medical record should ordinarily be directed to the healthcare provider or other organization responsible for that record.

15. Healthcare Interoperability and QHIO Services

Some Customers may separately receive healthcare interoperability or health information exchange services from Long Health.

Access to health information through a QHIO, HIE, Carequality, or another interoperability network is governed by applicable law, network rules, permitted-purpose requirements, participation agreements, and other applicable requirements.

An EvalPath subscription or platform account does not by itself authorize you to retrieve health information through an interoperability network.

You may access information through an interoperability service only when:

  • you and the applicable Customer are authorized to use that service;
  • the transaction has a permitted purpose;
  • all required legal and contractual conditions are satisfied; and
  • the access complies with applicable network and participation requirements.

You may not use interoperability credentials or functionality to search for or retrieve information merely because information would be useful to a medical-legal case if the applicable network does not authorize that purpose.

Long Health may restrict, suspend, or terminate interoperability access where necessary to comply with applicable law, QHIO requirements, network requirements, privacy obligations, or contractual obligations.

Long Health's QHIO privacy practices are described in the Long Health QHIO Privacy Policy.

16. Privacy

Long Health's general privacy practices are described in the Long Health Privacy Policy.

The Privacy Policy and, where applicable, QHIO Privacy Policy describe how Long Health handles information in connection with the applicable Services.

If a BAA or other written agreement imposes more specific requirements regarding PHI or Customer Data, that agreement controls to the extent applicable.

17. Case-Specific Output and Reports

Subject to applicable law and any applicable customer agreement, Long Health does not claim ownership of a Customer's underlying case information or final professional report merely because the Services assisted in preparing it.

Customers and Authorized Users may use case-specific Output generated through the Services for their authorized professional purposes.

Long Health retains all rights in:

  • the Services;
  • software;
  • platform architecture;
  • algorithms;
  • models;
  • workflows;
  • user-interface elements;
  • databases and database structures;
  • prebuilt templates;
  • documentation;
  • methodologies;
  • technology;
  • trademarks; and
  • other Long Health intellectual property.

Nothing in these Terms transfers ownership of Long Health technology to a Customer or User.

18. Customer Templates and Materials

If you upload a report template, questionnaire, instruction set, form, or other Customer material, you retain whatever rights you have in that material.

You grant Long Health a limited right to process, reproduce, configure, and use the material as necessary to provide the Services to you or the applicable Customer.

You represent that you have sufficient rights to provide those materials to Long Health.

Templates supplied by Long Health remain Long Health property unless otherwise agreed in writing.

19. Feedback

If you voluntarily provide suggestions, ideas, recommendations, or other feedback concerning the Services that does not contain PHI or other confidential Customer Data, Long Health may use that feedback without restriction or compensation to improve its products and services.

Do not include PHI in general product-feedback submissions.

20. Acceptable Use

You may not:

  • access a patient, examinee, case, or record that you are not authorized to access;
  • use the Services for an unlawful purpose;
  • provide false or misleading account information;
  • share credentials with unauthorized persons;
  • circumvent security or access controls;
  • attempt to gain unauthorized access to another account, Customer, system, or record;
  • scrape or systematically extract information from the Services except through an authorized interface;
  • reverse engineer, decompile, disassemble, or attempt to discover source code except where such restriction is prohibited by law;
  • copy or use the Services to create a substantially similar competing service;
  • use automated tools to overload or disrupt the Services;
  • introduce malware or harmful code;
  • interfere with another person's use of the Services;
  • remove proprietary notices;
  • use the Services in violation of intellectual-property rights;
  • use interoperability functionality for an unauthorized purpose;
  • use information obtained through the Services to discriminate unlawfully against an individual;
  • use the Services for surveillance, stalking, harassment, or other unlawful conduct;
  • attempt to bypass subscription, usage, technical, or security limits; or
  • permit an unauthorized third party to use your account.

Long Health may investigate suspected misuse and may suspend access when reasonably necessary to protect the Services, Customers, individuals, or Long Health.

21. Third-Party Services and Integrations

The Services may integrate with or depend upon third-party products or services, including:

  • electronic health records;
  • billing systems;
  • clearinghouses;
  • cloud infrastructure;
  • communications services;
  • document-processing services;
  • artificial-intelligence services;
  • health information exchanges; and
  • other third-party systems.

Long Health does not control independent third-party systems.

Availability, accuracy, functionality, or continued operation of third-party services may affect the Services.

Your use of third-party products may also be governed by separate terms between you or the Customer and the third party.

Long Health is not responsible for changes, errors, outages, or discontinuation of an independent third-party service except to the extent expressly provided in a written customer agreement.

22. Source Information and Data Quality

Information available through the Services may originate from Customers, healthcare providers, third-party systems, health information exchanges, scanned documents, or other sources.

Long Health does not independently guarantee the accuracy, completeness, timeliness, or authenticity of all source information.

You are responsible for evaluating the reliability and relevance of source information before relying upon it in professional work product.

Errors in source documents, scanning, OCR, patient matching, transcription, or third-party data may affect Output.

23. Fees, Subscriptions, and Payment

If you purchase Services directly through the Long Health platform, the fees, included usage, billing frequency, and applicable limits displayed at checkout or in the applicable Order Form will apply.

Unless otherwise stated:

  • fees are quoted in U.S. dollars;
  • applicable taxes may be added;
  • payment obligations are non-cancelable for amounts already incurred;
  • usage exceeding an included allowance may result in additional charges where disclosed; and
  • fees paid are non-refundable except as expressly stated by Long Health or required by law.

If a subscription automatically renews, the renewal terms presented at purchase or contained in the applicable Order Form will apply.

Customers are responsible for maintaining valid payment information.

Long Health may suspend paid Services for overdue undisputed amounts after providing any notice required by the applicable agreement or law.

If another written agreement governs pricing or payment, that agreement controls.

24. Trials and Evaluation Access

Long Health may offer free trials, pilots, demonstrations, or evaluation access.

Unless otherwise agreed in writing:

  • trial access may be limited in features or duration;
  • Long Health may terminate trial access at any time;
  • trial environments may not be appropriate for production use; and
  • PHI may not be submitted to a demonstration or non-production environment unless Long Health expressly authorizes such use and an appropriate BAA and security arrangement are in effect.

25. Security

Long Health maintains administrative, technical, and physical safeguards designed to protect information processed through the Services.

Users must also maintain reasonable security practices.

You agree to:

  • maintain secure devices;
  • use supported software;
  • protect authentication credentials;
  • comply with Customer security policies;
  • promptly report suspected security incidents; and
  • not disable or circumvent security controls.

If you become aware of unauthorized access to the Services or information processed through the Services, notify Long Health promptly at contact@longhealth.io.

26. Confidentiality

Through use of the Services, you may receive confidential information belonging to Long Health, a Customer, a patient, an examinee, or another person.

You may use confidential information only for authorized purposes and must protect it from unauthorized disclosure.

You may not disclose PHI, Customer confidential information, or Long Health confidential information except as permitted by applicable law and applicable agreements.

27. Electronic Communications

You consent to receive electronic communications relating to:

  • your account;
  • transactions;
  • security;
  • support;
  • privacy;
  • legal notices;
  • changes to the Services; and
  • these Terms.

Electronic notices may be provided by email, through the Services, or by other electronic means reasonably designed to provide notice.

You are responsible for maintaining a current email address associated with your account.

28. Availability and Maintenance

Long Health seeks to maintain reliable Services but does not guarantee uninterrupted or error-free availability except where a written Service Level Agreement expressly provides otherwise.

The Services may occasionally be unavailable because of:

  • maintenance;
  • upgrades;
  • security events;
  • third-party outages;
  • Internet or telecommunications failures;
  • force majeure events; or
  • circumstances beyond Long Health's reasonable control.

Long Health may perform maintenance or updates as reasonably necessary.

29. Suspension

Long Health may suspend or limit access where reasonably necessary because of:

  • a security risk;
  • suspected unauthorized access;
  • violation of these Terms;
  • nonpayment;
  • misuse of PHI;
  • violation of interoperability requirements;
  • legal or regulatory requirements;
  • a Customer's instruction regarding an Authorized User; or
  • conduct that creates material risk to the Services or others.

Where reasonably practicable, Long Health will attempt to provide notice of a suspension unless immediate action is necessary.

30. Termination

You may stop using the Services at any time.

Customers may terminate subscriptions as permitted by their applicable subscription terms, Order Form, or customer agreement.

Long Health may terminate an account or subscription for material breach of these Terms, subject to any applicable written agreement.

If your account is provided through an organization, that organization may terminate or modify your access.

Termination of an account does not automatically require deletion of all information processed through the Services.

Information may be retained as required or permitted by:

  • applicable law;
  • a BAA;
  • a Customer agreement;
  • professional-record requirements;
  • QHIO or interoperability requirements;
  • audit requirements;
  • security requirements; or
  • legitimate backup and legal-retention obligations.

Customer Data will be handled following termination in accordance with applicable agreements and law.

31. No Warranty Regarding Professional Outcome

Long Health does not warrant or guarantee:

  • a particular medical-legal conclusion;
  • acceptance of a report by a court, agency, claims administrator, insurer, attorney, or other party;
  • a particular impairment rating;
  • a particular treatment or legal outcome;
  • reimbursement or payment;
  • regulatory acceptance;
  • case outcome;
  • compliance of a User's final report with every professional or legal requirement; or
  • that use of the Services eliminates the need for professional review.

32. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT AS EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

LONG HEALTH DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.

LONG HEALTH DOES NOT WARRANT THAT THE SERVICES OR AI-GENERATED OUTPUT WILL BE ERROR-FREE, COMPLETE, UNINTERRUPTED, OR SUITABLE FOR USE WITHOUT PROFESSIONAL REVIEW.

NOTHING IN THIS SECTION DISCLAIMS A WARRANTY THAT CANNOT LAWFULLY BE DISCLAIMED.

33. Indemnification

To the extent permitted by applicable law and except where a separate written Customer agreement provides otherwise, you and, where applicable, the Customer agree to defend, indemnify, and hold harmless Long Health and its officers, directors, employees, and agents from third-party claims, damages, losses, liabilities, and reasonable expenses arising from:

  • your unlawful or unauthorized use of the Services;
  • your material violation of these Terms;
  • Customer Data that you were not authorized to provide;
  • your unauthorized access to health information;
  • your failure to obtain legally required recording consent;
  • your professional report, opinion, certification, or decision; or
  • your violation of applicable law or third-party rights.

This obligation does not apply to the extent a claim results from Long Health's own breach, gross negligence, willful misconduct, or other conduct for which liability cannot lawfully be excluded.

34. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT WHERE A SEPARATE WRITTEN AGREEMENT PROVIDES OTHERWISE, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOSS OF BUSINESS, ARISING FROM OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXCEPT FOR LIABILITY THAT CANNOT LAWFULLY BE LIMITED, LONG HEALTH'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE FEES PAID OR PAYABLE TO LONG HEALTH FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IF NO FEES WERE PAID FOR THE APPLICABLE SERVICES, LONG HEALTH'S AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

THESE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

35. Intellectual Property Complaints

If you believe content available through a Long Health-controlled service infringes your intellectual-property rights, contact contact@longhealth.io and provide sufficient information for Long Health to evaluate the claim.

36. Export and Sanctions Compliance

You may not use or access the Services in violation of applicable U.S. export-control, sanctions, or trade laws.

You represent that you are not prohibited from receiving the Services under applicable U.S. law.

37. Changes to the Services

Long Health may modify the Services to:

  • improve functionality;
  • address security risks;
  • comply with law;
  • satisfy interoperability requirements;
  • update technology; or
  • introduce or retire features.

Material changes affecting paid Customer commitments remain subject to applicable customer agreements.

38. Changes to These Terms

Long Health may update these Terms from time to time.

If a change materially affects the rights or obligations of registered Users, Long Health will provide reasonable notice through the Services, by email, or through another appropriate method.

The updated Terms will identify their effective date.

If Long Health requires renewed acceptance, continued access may require accepting the updated Terms.

Changes will not retroactively alter a separately executed agreement unless that agreement permits such modification.

39. Governing Law and Venue

Except where a separate written agreement provides otherwise, these Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any legal action arising from these Terms that is not subject to another binding dispute-resolution agreement will be brought in a state or federal court of competent jurisdiction located in Santa Clara County, California, and each party consents to the jurisdiction and venue of those courts.

40. Notices

Legal notices to Long Health may be sent to:

Long Health may provide notices to you through the email address associated with your account, through the Services, or as otherwise permitted by an applicable agreement.

41. Assignment

You may not assign your rights under these Terms without Long Health's prior written consent, except as permitted under an applicable customer agreement.

Long Health may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of substantially all relevant assets, or similar transaction.

42. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

43. No Waiver

Failure to enforce a provision of these Terms does not constitute a waiver of that provision or any other provision.

44. Entire Agreement

These Terms, together with any applicable Order Form, Customer agreement, BAA, incorporated privacy policy, and other expressly applicable written agreement, constitute the agreement governing the applicable use of the Services.

A separately executed written Customer agreement controls over these Terms where the agreements conflict.
